U.S. Law Practice

The firm’s U.S. Law Practice Group is comprised of attorneys with decades of experience representing U.S. and international clients in the practice areas below, among others:

International Business Planning and Entity Formation
CCN assists clients with the planning, formation, operation, maintenance, merger, acquisition, reorganization and dissolution of business entities throughout the state of Texas and the United States.  We work with investors, businesses and their team of advisors in a collaborative manner to consider the choice of entity that best fits their goals, all while considering the legal ramifications of different types of entities, maximum protection from creditors, management objectives, overall tax impact and incentives, and special needs of each particular business.

Estate Planning, Wills, and Probate
CCN lawyers help clients design an estate plan that best suits the client’s needs, including when their estates contain international assets. We draft required estate planning documents, such as wills, revocable and irrevocable trusts, medical powers of attorney, financial powers of attorney, and directives to physicians.  We also assist our clients’ families and beneficiaries with the probate of their loved ones’ wills, and with the implementation of their estate plan, including the domestication of foreign wills.  For our Mexican clients, we offer the benefit of having both U.S. licensed and Mexico licensed attorneys who can collaborate on the design of the estate plan and eventual probate procedures.

Real Estate
CCN attorneys have ample experience in industrial, commercial, condominium, hotel, and retail projects, including due diligence, acquisition, development, financing and leases. We also advise clients on tax, zoning, permits, incentives, environmental, and other issues. CCN attorneys work closely with title companies, accountants, banks and other lenders to meet our real estate clients’ goals. CCN attorneys provide advice to clients on corporate structures and the development of sound tax strategies for holding U.S. real estate.

CCN has litigators in the U.S. and Mexico who understand both legal systems.  This is essential and allows our team to provide its clients with coordinated representation in cross-border commercial litigation and arbitration.  It common for CCN’s litigators to represent a client in a Mexican court, U.S. court and private arbitration simultaneously in the same dispute.  CCN’s lawyers can represent clients in all courts in the United States and Mexico, as well as in arbitration proceedings anywhere in the two countries.

External Counsel
CCN serves as external counsel to many businesses by working in a collaborative manner with their in-house legal departments, or by operating as the main source of legal counsel.  In our role as external counsel, we advise our clients on matters ranging from design and implementation of contract management systems, compliance training for executive teams and management, which includes advice and training in Foreign Corrupt Practices Act (FCPA) compliance, labor and employment matters, mergers and acquisitions, regulatory compliance, litigation and entity management.

Trademarks and Intellectual Property
CCN business lawyers advise clients on protecting their brands, trade secrets and trademarks in the U.S. The firm’s attorneys are experienced in developing strategies for domestic and international clients for the optimal protection of their trademark rights, including the registration of the mark with the United States Patent and Trademark Office (USPTO). We help our clients develop, register, and maintain their trademarks, draft licensing agreements, and develop strategies for the protection of trade secrets and other intellectual property. CCN´s U.S. attorneys are registered with the USPTO and have ample experience with issues pertinent to foreign-domiciled trademark applicants. We also work with our Mexico licensed colleagues to insure the protection of our clients’ trademarks and intellectual property rights in Mexico and abroad.

Business Contracts
The firm’s business lawyers help clients with the drafting, negotiation and review of a wide range of business contracts, such as: commercial leases, employment agreements, professional services agreements, distribution agreements, manufacturing agreements, company and buy-sell agreements, joint venture agreements, agreements for purchase and sale of a business, and non-disclosure and non-competition agreements. We have ample contract experience in numerous industries, including transportation, agriculture, manufacturing, automotive, energy, and others.

CCN lawyers advise clients on the acquisition and sale of helicopters, airplanes and other aircraft. We assist international clients with the legal planning required to register their aircraft with the U.S. Federal Aviation Administration (FAA). CCN represents clients in all aspects of aviation acquisitions, including due diligence efforts and the negotiation of purchase and sale agreements, aircraft trusts, and operating agreements. CCN attorneys work closely with aircraft trustees and aircraft title companies in order to meet its clients’ goals.

CCN represents U.S. and international clients in the design and structuring of financing transactions, as well as in the negotiation and documentation of loan agreements, security agreements, mortgages and other financing documents. We handle domestic and international financing transactions, and our clients include individuals, businesses, and banks with financing needs ranging from working capital to real estate finance, asset finance, and financing required to acquire a business.
